1. Parties, scope and acceptance

These Terms & Conditions govern use of trydappr.com and related website materials provided by Dappr LLC, a Utah limited liability company (Dappr, we, us or our). You means the person using the site and, where that person has authority, the business represented. You must be at least 18 and legally able to enter a binding agreement to purchase services. Do not represent that you bind an organization without authority.

By accessing or using the website after reasonable notice of these terms, you agree to the website provisions to the extent permitted by law. If you do not agree, discontinue use. Obligations that require affirmative acceptance, including payment obligations and service-specific restrictions, apply only through a valid agreement; merely browsing does not enroll you in a paid service.

2. Service agreements take priority

A proposal, statement of work, order form or other service agreement accepted by both parties defines purchased work. An applicable signed service agreement controls over these terms on conflicting subjects; an applicable data processing agreement controls processing on a client’s behalf. Existing contracts are not amended merely by changing this page. These terms supplement a service agreement only to the extent validly incorporated or otherwise agreed.

Website content, estimates, sales discussions and form submissions do not by themselves create an obligation to accept a project, reserve capacity or deliver work. Scope, fees, payment dates, commitments, renewal, cancellation, acceptance criteria and authorized contacts should be recorded before work begins. No fixed minimum term, automatic renewal, cancellation fee or refund entitlement is created by this page.

3. Scope, capacity and client cooperation

Marketing, consulting, fractional leadership, creative production, websites, CRM and automation services are limited to the agreed scope and available capacity. All Access describes access to agreed capabilities, not unlimited simultaneous work, unlimited production, every software license or a guaranteed turnaround time. Advertising spend, third-party subscriptions, custom development and major projects are included only if expressly stated in the engagement.

You are responsible for timely access, accurate information, authorized decisions, necessary approvals and client-side dependencies. Changes, additional revisions or new requirements may require an agreed adjustment to fees or schedule. Delays in approvals, platform access, materials or third-party services can affect delivery. Dappr is not authorized to bind your business or incur expenses on your behalf without agreed authority.

4. Fees, third-party costs and cancellation

Only the applicable accepted agreement establishes charges and payment obligations. Unless expressly included, media spend, platform charges, licenses, taxes and approved out-of-pocket costs are separate. Public pricing can change for future engagements and is subject to the final agreed scope; a later website price does not override an existing contract.

Refunds, cancellation, suspension for nonpayment, renewal and handoff are governed by the applicable agreement and nonwaivable law. Work already performed and authorized noncancelable third-party commitments remain subject to that agreement. We may correct obvious website pricing or descriptive errors before accepting an order, with notice and an opportunity to decline. We do not impose undisclosed recurring charges through this website.

5. Client content, permissions and legal compliance

You retain rights in materials you own and provide. You grant Dappr permission to use, reproduce, adapt and transmit those materials only as needed to perform the engagement or as otherwise authorized. You are responsible for having rights to your content, trademarks, customer lists, testimonials, photographs, data and instructions, including required privacy notices and permissions.

You are responsible for the accuracy and substantiation of business claims and for obtaining industry-specific approvals. You must not direct unlawful advertising, deceptive reviews, discriminatory targeting, unconsented communications or misuse of personal information. Regulated activities, including financial, health, employment and legal matters, may require qualified professional review. Dappr may decline unlawful instructions.

6. Deliverables and Dappr intellectual property

The service agreement determines ownership, transfer, permitted use and any payment condition for final deliverables. Do not assume that a proposal, draft, working file, source file, unused concept, internal method or third-party asset transfers with a finished deliverable. Dappr retains its pre-existing tools, reusable components, methods, templates and know-how, subject to any express agreement. Third-party materials remain subject to their licenses.

The website, branding, text, graphics, designs and other materials are protected by intellectual property laws. Dappr or its licensors retain applicable rights. We grant a limited, revocable, nonexclusive permission to access the website for lawful evaluation of our services and ordinary business use. You may not republish, resell or commercially exploit protected materials without permission or another lawful basis. Rights expressly granted by law remain available.

Nothing here authorizes public use of a client’s name, logo, testimonial, confidential information or project results. Portfolio and publicity use requires the permission or contractual right applicable to that use.

7. AI-assisted work and automation

An engagement may use AI-assisted tools, software and automation consistent with agreed scope and confidentiality and data obligations. Outputs may be incomplete, inaccurate, nonunique or unsuitable without human review. AI-generated material may have limited intellectual property protection. No exclusive ownership or copyright eligibility of purely machine-generated material is promised.

Human approval, testing, security controls and professional review remain necessary where appropriate. You must not rely on an automated output as legal, medical, tax, investment or other regulated advice. The applicable agreement should identify material approval responsibilities and any restricted tools or data uses. Automation cannot guarantee uninterrupted execution or error-free downstream systems.

8. Platforms, accounts and outside services

Search engines, ad networks, social platforms, hosting providers, CRM systems, AI vendors and other outside services control their own rules, fees, availability, enforcement and algorithms. They may suspend accounts, reject content, change interfaces, limit access or discontinue features. Dappr cannot guarantee a third party’s decision or continued availability. Our responsibility for selecting or integrating providers remains subject to the applicable agreement and law.

Keep ownership and recovery access for business accounts where practicable. Grant only authorized access, use suitable security controls, and promptly notify us when permissions change or an account may be compromised. Third-party licenses and terms remain applicable. External links do not constitute a warranty or endorsement of all destination content.

9. Approvals, examples and performance

Review proposed content, campaigns, claims, budgets and deliverables according to the engagement’s approval process. Silence is not deemed approval unless a valid agreement expressly provides otherwise. After approval, changes or corrections may require additional work, subject to the agreement and any responsibility for defects.

Marketing performance depends on factors including competition, budget, offer, market conditions, client execution and platform behavior. Unless an accepted agreement expressly provides a specific guarantee, Dappr does not guarantee rankings, indexing, AI citations, traffic, leads, conversions, sales, revenue, return on ad spend, platform approval or a particular business outcome. Forecasts are estimates, not promises. Examples and past outcomes do not establish typical or future results; illustrative material must not be treated as proof of actual client outcomes.

10. Acceptable use and website security

Do not use the website to violate law, infringe rights, impersonate others, submit false or malicious inquiries, transmit harmful code, harvest personal information, interfere with service, bypass access controls or conduct unauthorized vulnerability testing. Do not use automated access in a way that overloads the site or violates applicable access restrictions. Ordinary search-engine indexing and uses protected by law are not prohibited by this clause.

We may restrict abusive or unlawful website access, preserve relevant evidence and cooperate with lawful requests. Any suspension of contracted services remains subject to the agreement and applicable law. Report security concerns through the contact below without exposing private data or continuing unauthorized access.

11. Communications and electronic records

You authorize responses to your inquiries through the contact methods you provide, subject to applicable communications law. Separate consent is required where law requires it for marketing calls, texts or other communications. You can opt out of marketing using the instructions supplied or by contacting us; essential project, billing and legal notices may continue.

Electronic signatures and accepted electronic records may satisfy writing requirements where law permits. Providing an email address does not waive a legally required notice method. Keep contact details current and follow any notice procedure in your service agreement.

12. Confidentiality and privacy

Do not send trade secrets, passwords or sensitive records through public forms. Confidentiality obligations for an engagement are governed by its agreement or a separate NDA. This page does not create a blanket NDA for unsolicited submissions. That statement does not remove duties imposed by privacy law or an existing agreement.

Our Privacy Policy explains handling of personal information. It is not consent to otherwise unlawful processing, a waiver of privacy rights or permission to use client data beyond lawful instructions. Data processing, security requirements and regulated-data responsibilities should be addressed in the engagement where relevant.

13. Website disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND GENERAL INFORMATION ARE PROVIDED AS IS AND AS AVAILABLE, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. WE DO NOT WARRANT THAT WEBSITE CONTENT IS COMPLETE, CURRENT, ERROR-FREE OR CONTINUOUSLY AVAILABLE. EXPRESS WARRANTIES IN AN APPLICABLE SERVICE AGREEMENT REMAIN GOVERNED BY THAT AGREEMENT.

Website articles and resources are general business information, not individualized legal, tax, financial or professional advice. Obtain qualified advice for your circumstances. Nothing excludes a warranty, remedy or duty that applicable law does not allow us to exclude.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAPPR AND ITS MEMBERS, OFFICERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE UNDER THESE WEBSITE TERMS FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITIES OR DATA, ARISING FROM WEBSITE USE OR INABILITY TO USE IT, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAPPR’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THESE WEBSITE TERMS OR WEBSITE USE WILL NOT EXCEED THE GREATER OF US $100 OR THE AMOUNT YOU PAID DAPPR SPECIFICALLY FOR WEBSITE ACCESS IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. LIABILITY FOR PURCHASED SERVICES IS GOVERNED BY THE APPLICABLE SERVICE AGREEMENT, NOT THIS WEBSITE-ACCESS CAP.

These exclusions and limits do not apply to fraud, intentional misconduct, gross negligence, or any other liability to the extent it cannot lawfully be excluded or limited, and do not restrict nonwaivable consumer or privacy rights. If a limitation is unenforceable, it applies only to the extent the law permits.

15. Business-user indemnity

If you use the website on behalf of a business and validly accept these terms for that business, the business agrees, to the extent permitted by law, to indemnify Dappr against third-party claims, damages and reasonable legal costs to the extent caused by its unlawful website use, infringement through materials it submits, or material breach of these website terms. This does not apply to claims caused by Dappr’s own breach, negligence or misconduct. Contracted-service indemnities are governed by the applicable service agreement.

Dappr will provide reasonably prompt notice of a covered claim and reasonable cooperation at the indemnifying party’s expense. Defense counsel must be reasonably acceptable to Dappr. No settlement may impose an admission, nonmonetary obligation or unpaid liability on Dappr without its written consent. Dappr may participate with its own counsel at its own expense, subject to applicable law.

16. Utah law and dispute resolution

Subject to nonwaivable rights and any applicable service agreement, Utah law governs these website terms without regard to conflict-of-law rules. Before filing a claim, either party may send a written description and requested resolution to the other and seek an informal resolution for 30 days. This process does not prevent urgent protective relief, use of small-claims court, a complaint to a regulator, or action needed to preserve a filing deadline.

To the extent legally permitted, disputes under these website terms will be brought in state courts located in Washington County, Utah, or the federal court with jurisdiction over that county, and the parties consent to those courts. Mandatory consumer law may entitle you to the law and courts of your residence. These website terms do not impose mandatory arbitration or waive a right to bring a class action. A separately accepted agreement may contain its own enforceable dispute terms.

17. Changes, termination and surviving provisions

We may update the website and these terms. The date above identifies the current version. Changes apply prospectively, subject to any notice and acceptance required by law, and do not retroactively alter accrued claims or an existing signed agreement. We will obtain additional agreement where required rather than treating every change as accepted solely through continued browsing.

You may discontinue website use at any time. We may end the limited website permission for material breach or misuse to the extent permitted by law. Terms that by their nature should survive, including applicable intellectual property provisions, accrued obligations, disclaimers, liability limitations and dispute provisions, survive termination. Service termination and handoff follow the service agreement.

SMS/RCS messaging program terms

Dappr LLC offers optional transactional and operational SMS/RCS messages to users who expressly opt in through a disclosed consent process. The contact form checkbox is unchecked by default and separate from inquiry submission. Providing a number or submitting the form without checking the box does not enroll you. Consent is not a condition of purchase. You represent that you control the number provided or have authority to consent for it.

The program covers consultation and appointment confirmations and reminders, account and onboarding updates, billing notices and receipts, project updates, and support replies related to your requests or account activity. Automated technology may be used. Message frequency varies with your activity and service needs. Message and data rates may apply under your carrier plan. This opt-in does not authorize marketing or promotional campaigns, cold messaging or messages based on purchased or unverified third-party lists.

Reply STOP to any program message to opt out, or HELP for help. After an opt-out, one confirmation may be sent; no further program messages should be sent unless you provide a new valid opt-in. Contact hello@bedappr.com or 866-747-1776 for assistance or an alternative opt-out method. Dappr messages must identify the sender and provide clear opt-out instructions. Other reasonable withdrawal requests will be honored as required by law.

SMS/RCS availability and delivery depend on your device, carrier and network. Messages can be delayed or fail to arrive, and carriers are not liable for delayed or undelivered messages to the extent permitted by law. Do not rely on this program for emergencies or critical notices. Notify us if your number changes or is reassigned, and do not send passwords, payment-card details or sensitive personal records by text.

Program changes will receive any notice and renewed consent required by law. Message consent does not waive privacy rights, alter an existing service agreement or authorize a charge for services. Our Privacy Policy explains mobile-information handling and restrictions on sharing opt-in data.

18. General provisions and legal notices

If a provision is unenforceable, it will be limited to the lawful extent or severed without affecting the rest. Failure to enforce a provision is not a waiver. These website terms do not create a partnership, employment relationship or agency. No third party receives enforcement rights except a person expressly protected by a provision to the extent permitted by law. An assignment cannot impair nonwaivable rights or override restrictions in a service agreement.

These terms and documents validly incorporated into them form the agreement concerning website use; separately accepted service agreements remain controlling for services. Questions, legal notices, intellectual property complaints and requests for permission may be sent to the following contact. Identify the relevant page or material and the basis of your request without including unnecessary sensitive information.
